BAYSWATER RESIDENTS’ ASSOCIATION
CONSTITUTION
1. The Constitution supersedes the Association’s Constitution dated the 31 December 1973 which shall deemed to be revoked.
2. The Name
The Bayswater Residents’ Association (the Association)
3. Objects
The objects of the Association shall be to further and promote the interests of the residents and the Members of the Association as defined in Clause 5 within the area set out in the Schedule hereto (the Area) and give such support and help as may be deemed appropriate to such residents, to preserve protect and improve the amenities of the area and to encourage development which enhances the architectural and environmental amenities of the area and to oppose developments or other activities (licensing, traffic etc) which may have an adverse effect on the amenities of the area.
The Association may also support other local residents’ associations and amenity societies in promoting the objects of the Association in the wider area of Bayswater.

The Association’s boundaries may be changed by the Committee at any time subject to subsequent ratification at the next AGM
5. Membership
Membership of the Association shall be open to all persons living, working or trading including businesses and corporate entities trading in the area, and to others having or be deemed by the Committee to have an interest or concern for the character of the area and its amenities.
All Members including businesses and corporate members shall be entitled to one vote at Annual and Special General Meetings.
The Committee shall be entitled to terminate the membership of any Member who in the opinion of the Committee brings the Association into disrepute. The Member shall have the right to be heard by the Committee before a decision to terminate their membership is made.
6. Subscriptions
The Committee shall decide the annual subscription for Members from time to time and any changes shall be notified to a general meeting at the earliest opportunity. The subscription year shall begin on 31 December. Members whose subscriptions remain unpaid for more than six months from the start of the subscription year shall be deemed to have resigned. The subscription of a Member joining the Association in the two months preceding the 31 December in any year shall be regarded as covering membership for the Association’s year commencing on 31 December following the date of joining the Association.
7. Officers
(a) The Officers of the Association shall be the Chairman, the Treasurer, and the Secretary of the Association.
(b) The Officers shall be elected at the Annual General Meeting of the Association and shall hold office until the next following Annual General Meeting.
8. Executive Committee
(a) There shall be an Executive Committee of the Association which shall be responsible for the administration and organisation of the Association and which shall administer the funds of the Association.
(b) The Committee shall consist of the Officers of the Association, four Members of the Association nominated pursuant to Clause 9 and such other Member (not exceeding four) as the Committee may co-opt from time to time.
(c) The Members of the Committee shall be elected at the Annual General Meeting of the Association and shall hold office until the next following Annual General Meeting.
9. Nomination for Election of Officers and Committee
(a) A candidate for election as an Officer or to the Committee shall be nominated by not less than three Members of the Association.
(b) Written nominations shall be given to the Secretary not less than fourteen days before the Annual General Meeting.
10. General Meeting
(a) There shall be an Annual General Meeting of the Association in each calendar year and on a date not later than fifteen months after the previous Annual General Meeting. The Annual General Meeting shall be convened on twenty-one days’ notice for the purpose of receiving the Annual Report of the Committee and the annual statement of accounts of the Association and electing Officers and the Members of the Committee.
(b) A General Meeting may be called by the Committee or by not less than twenty Members of the Association by written notice to the Secretary.
(c) A notice of any General Meeting of the Association shall be given by the Secretary to all Members and shall be given not less than twenty-one days before the holding of such meeting.
11. Procedure at Meetings of the Committee and General Meetings
Votes
All questions arising at any meeting shall be decided by a majority of those present and voting. No Member shall exercise more than one vote but in the case of an equality of votes the Chairman shall have a second or casting vote.
Quorum
A quorum shall consist of not less than four Members at meetings of the Committee and not less than ten Members, in addition to the Members of the Committee, at General Meetings of the Association.
Minutes
The Secretary shall ensure that Minutes of the General Meetings of the Association and the meeting of the committee and any appointed sub-committee shall be kept.
12. Finance
(a) All moneys raised by or on behalf of the Association whether by way of subscription donation or any other means shall be held by the Committee for the objects of the Association and its administration.
(b) The Treasurer shall keep proper accounts and records of the finances of the Association.
13. Liability
The Officers and other Executive Committee Members shall act as Trustees of the funds of the Association on behalf of the Members and shall not render themselves personally liable in respect of any act or decision taken bona fide for the benefit of the Association. The Officers and other Executive Committee Members shall be entitled to an indemnity out of the funds of the Association in respect of all expenses and liabilities incurred in the discharge of any duties on behalf of the Association.
14. Alteration to the Constitution
The Constitution may be changed, amended, altered or repealed at a General Meeting of the Association by two-thirds majority of those present and voting. The Association may be wound up by resolution at a General Meeting of the Association by two thirds majority of those present and voting.
